QUANTUMONLINE.COM SECURITY DESCRIPTION: Gladstone Commercial Corp., 6.00% Series G Cumulative Redeemable Preferred Stock, liquidation preference $25 per share, redeemable at the issuer's option on or after 06/28/2026 at $25 per share plus accrued and unpaid dividends, and with no stated maturity. Distributions of 6.00% ($1.50 per annum or $0.125 per Month) paid monthly on the last business day of each month to holders of record or on the date fixed by the board, not more than 35 days or less than 10 days prior to the payment date (NOTE: the ex-dividend date is one business day prior to the record date).
Dividends paid by preferreds issued by REITs are NOT eligible for the preferential 15% to 20% tax rate on dividends and are also NOT eligible for the dividend received deduction for corporate holders.
If a Change of Control or Delisting Event occurs at any time the Series G Preferred Stock is outstanding, then each holder shall have the right, at such holder’s option, to require the Issuer to redeem for cash any or all of such holder’s shares of Series G Preferred Stock at a redemption price equal to the liquidation preference of $25.00 per share, plus any amount equal to all accrued but unpaid dividends to, but not including, the redemption date.
