BUSINESS: C-Tracks ETNs (Exchange Traded Notes) linked to the Miller/Howard Strategic Dividend Index Total Return, are due on 9/16/2024, and are senior unsecured debt securities issued by Citigroup Inc. and do not offer principal protection. INVESTMENT OBJECTIVE: The investment performance of these ETNs are linked to the performance of the Miller/Howard Strategic Dividend Index Total Return less the investor fee. INDEX DESCRIPTION: The Index is designed to track the performance of 30 equally weighted stocks traded on U.S. exchanges selected quarterly pursuant to rules based upon certain quantitative fundamental factors, including dividend yield, expected growth of dividend yield, market valuation relative to book value, return on invested capital relative to price-to-earnings ratio and trailing 26-week stock price momentum. The Index sponsor is Miller/Howard Strategic Indexes, LLC. Cash dividends paid by the Index constituents are notionally reinvested in the Index. EARLY REDEMPTION: Beginning September 16, 2015, Citigroup may call the C-Tracks for redemption, in whole and not in part on any redemption date during the term of the C-Tracks. If they redeem the C-Tracks, you will receive on the applicable redemption date a cash payment per C-Track equal to the closing indicative value of the C-Tracks on the issuer redemption valuation period end date. RETURNS AND MATURITY: The ETNs do not pay any interest during their term. Cash dividends paid by the Index constituents are notionally reinvested in the Index. The return on the ETNs are directly linked to the performance of the Index. At maturity or upon early redemption you will receive a cash payment equal to the principal amount of your Securities times the index factor on the final valuation date times the fee factor on the final valuation date. The ETNs can be bought and sold on US stock markets to realize intermediate investment profits and losses. QUARTERLY PAYMENTS: None. FEES: The investor fee is equal to 0.70% per annum accrued on a daily basis. ETN CAUTIONS: Fluctuations in the market price of the ETNs versus the indicative value of the ETNs can affect the investment results. Notes: October 19, 2020 -- Citigroup Inc. (“Citigroup”) announced today that it will redeem at its option, and in full, C-Tracks ETNs Miller/Howard Strategic Dividend Reinvestor due 9/16/2024 CUSIP number 17322H149. The Issuer Redemption Valuation Period will consist of one observation day, which is expected to be October 30, 2020. Holders of the C-Tracks ETNs will receive a cash payment per ETN in an amount equal to the closing indicative value of the respective series of C-Tracks ETNs on that date. The cash payment upon early redemption is expected to be paid to investors on November 10, 2020. The issuer of this ETN has suspended the issuance of new notes. ETNs that are closed to the issuance of new notes pose additional investment risks such as the potential for the market price to deviate from the fund's Net Asset Value, as well as increased volatility. Paying a premium over an ETN's Net Asset Value could lead to significant losses.
