QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Global Markets Holdings Inc., PACERS, issued at $10 per unit, due 11/30/2007 and based on the price of JP Morgan Chase & Co. (NYSE: JPM) common stock. No interest will be paid on the PACERS. At maturity, if not called prior to the maturity date, the SEQUINS will deliver to the holder 0.26624 shares of JP Morgan Chase common stock if the price of JP Morgan Chase common stock has fallen below $26.29 (70% of the initial share price) anytime during the term of the notes, or $10 in cash. The SEQUINS are callable if the JPM share price is greater than or equal to the initial share price during any three day trading period starting 11/25/2005, 11/24/2006 and 11/23/2007. If called, the payment will be $10 plus a mandatory call premiumin cash to provide call price in cash equal to $12.70. The initial share price of the JP morgan Chase common stock is $37.56 as of 11/23/2004.
