QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Funding Inc., PACERS (Premium MAndatory Callable Equity-Linked SecuRitieS) based on the S&P 500 Index, issued at $10.00 per PACERS, and maturing 3/26/2009. The PACERS pay no payments prior to maturity, and make no guarantee of the return of principal at maturity. The PACERS are callable at the issuer's option at $10 per PACERS plus a mandatory call premium of $0.50, $1.00, and $1.50 respectively if the closing trading price of the fund during the three day trading periods starting on 3/25/2008, 9/25/2008, and 3/19/2009 is greater than or equal to the initial index value. The initial index value is 1,525.75 as of 9/21/2007. If the PACERS are not called, at the maturity date the holder will receive either cash in an amount equal to the product of closing value of the index on the valuation date and 0.006554 (equal to $10 divided by the initial index value) if the index value at any time up to the valuation date of the third day before maturity is less than or equal to 1,220.60 (80% of the initial index value), or $10 in cash. The PACERS are not principal protected and at maturity the holder could receive an amount that is worth less, and possibly significantly less, than the issue price of the PACERS.
