QUANTUMONLINE.COM SECURITY DESCRIPTION: Capital Crossing Preferred Corp., formerly Atlantic Preferred Capital Corp, 9 3/4% Non-cumulative Exchangeable Preferred Stock, Series A, liquidation preference $10 per share, redeemable at the issuer's option on or after 2/01/2004 at $10 per share plus declared and unpaid dividends, with no stated maturity, and with noncumulative distributions of 9 3/4% ($0.975) per annum paid monthly on the 15th day of each month to holders of record on the last day of the month preceding the payment date. The preferred shares are exchangeable at the issuer's option for preferred shares of Atlantic Bank and Trust Co., now the Capital Crossing Bank (NNM: CAPX) if the bank is under capitalized or is in receiveship. In regards to payment of dividends and upon liquidation, the preferred shares rank equally with other preferreds and senior to the common shares of the company. The company operates in a manner which allows it to be taxed as a reat estate investment trust.
