QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley HITS (High Income Trigger Securities) due 2/20/2008, issued at $10 per HITS, and linked to the value of the common stock of Apple Inc. (Nasdaq: AAPL). The HITS are not callable prior to maturity, and do not guarantee any return of principal at maturity. The HITS pay 10.5% ($1.05) per annum quarterly distributions on 5/20/2007, 8/20/2007, 11/20/2007 & 2/20/2008 to holders of record five calendar days prior to the payment date. The distributions consist of 5.363% interest and 5.137% option premium. At maturity, the HITS will pay either the $10 principal amount or the number of shares of common stock of Apple Inc. based on the exchange ratio of the HITS (which is initially 0.11534 or $10 divided by the initial share price) depending of the final price of the Apple Inc. common stock on the determination date of 2/15/2008 and on whether a trigger event has occurred. The initial share price of the common stock is $86.70 as of 1/24/2007 and the trigger price is $65.025 or 75% of the initial price. A trigger event will occur if, at any time during the term of the HITS, the trading price of the common stock is equal to or less than the trigger price of the stock. At maturity, if a trigger event has NOT occurred the holder will receive $10 in cash per HITS. If a trigger event has occurred , the holder will receive shares of common stock based on the exchange ratio. If the final trading price of the stock is less than the the initial share price and a trigger event has occurred, the holder will receive a payment that is less, and possibily significantly less, than the issue price of the HITS based on the proportional decrease in the final trading price of the stock.
