QUANTUMONLINE.COM SECURITY DESCRIPTION:  Citigroup Funding Inc., Safety First Trust Series 2009-1 Principal-Protected Trust Certificates, linked to the S&P 500 Index, due 3/27/2014, issued at $10 per certificate, and guaranteed by Cititgroup Inc. The certificates will make no payments before maturity, do not provide for early redemption, and do guarantee the return of 100% of the principal at maturity. At the maturity date of 3/27/2014 the holder will receive a cash payment of $10 plus a supplemental distribution amount which may be positive or zero. The supplemental distribution amount will be based on the percentage change in the S&P 500 Index and the participation rate of 105%, starting value 806.12 on 3/24/2009, over the term of the certificates and will not be less than zero. The supplemental distribution amount will be calculated as $10 times the ending Index value on the third index business day prior to the maturity date minus the starting Index value divided by the starting Index value times the participation rate. The certificates may be exchanged at any time at the holder's option into a $10 equity index participation security and a $10 equity index warrant which then are separately transferable (see page 4 of the prospectus for exchange details).
