QUANTUMONLINE.COM SECURITY DESCRIPTION: Morgan Stanley PLUS (Performance Leveraged Upside Securities) due 4/20/2008, linked to the value of the PHLX Semiconductor Sector Index, and issued at $10 per PLUS. The PLUS pay no interest, are not callable prior to maturity, and do not guarantee any return of principal at maturity. At maturity, if the value of the PHLX Semiconductor Sector Index is greater than the initial index value of 479.27 on the pricing date of 3/23/2007, the PLUS will pay a cash payment equal to $10 plus a leveraged upside payment of $10 times 300% of the increase in the final Index value, subject to a maximum payment of $11.80 (118% of the issue price). If the final value of the index at maturity is less than the initial value, the holder will receive a payment that is less, and possibily significantly less, than the issue price of the PLUS based on the proportional decrease in the index.
