QUANTUMONLINE.COM SECURITY DESCRIPTION: Wachovia Corp. 0.25% Exchangeable Notes due 12/15/2010, exchangable for the common stock of three Oil Industry Companies and issued at $1000 per note. The notes pay 0.25% ($2.50) per annum interest payments semi-annually on 6/15 & 12/15. The three oil industry companies are Amerada Hess Corp., Halliburton Co. and Nabors Industries Ltd. Beginning 12/10/2005 the holder will have the right to exchange the notes for a number of shares of each of the three companies equal to the then cuurent exchange rates. Beginning 11/10/2007 the issuer will have the right to exchange each note for cash or stock equal to the value of the basket of stocks at the then current exchange rates. If the value of the basket on the day preceeding the exchange date is greater than the redemption price, than shares of stock in the three companies will be issued based on the then current exchange rates. On the maturity date, unless previously called or exchanged, the holder will receive the $1000 issue price. The notes are senior unsecured debt obligations of Wachovia Corp.
