QUANTUMONLINE.COM SECURITY DESCRIPTION:  Wachovia Corp., TEES Targeted Efficient Equity Securities Leveraged Upside Note linked to the S&P 500 Index, due 8/19/2009 and issued at $10 per TEES. The TEES will receive no payments before maturity and are not redeemable prior to maturity. At the maturity date of 8/19/2009, if the S&P 500 Index has increased, the holder will receive a payment based on the percentage increase in the S&P 500 Index (starting value 1,147.06 as of 2/19/2004), multiplied by the participation rate which is 70%. If the index has decreased, the holder will receive no less than the principal amount of the note. The TEES are senior unsecured debt securities of Wachovia Corp. and will rank equally with their other unsecured and unsubordinated debt.
