QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, Capital Protected Notes due 1/30/2011 based on the value of the S&P 500 Index, initial value 1,086.20 as of 7/23/2004, issued at $10.00 per note. The notes will make no payments before maturity and do not provide for early redemption. At the maturity date of 1/30/2011 the holder will receive a minimum cash payment of the $10.00 principal amount plus an supplemental redemption amount, if any, based on the performance of the S&P 500 Index over the term of the notes. The supplemental redemption amount will be the final value of the index minus the initial value of the index divided by the initial value of the index times a participation rate of 80% and will not be less than zero. The notes are subject to original issue discount (OID) accruals as specified on page PS-25 of the prospectus. The Notes are senior unsecured debt securities issued by Morgan Stanley and will rank equally with all of their other unsecured and unsubordinated debt.
