QUANTUMONLINE.COM SECURITY DESCRIPTION:  Bank of America Corp., Bear Market STARS (STrategic Accelerated Redemption Securities) linked to value of the S&P Small Cap Regional Banks Index, due 8/31/2010, and issued at $10 per security. The holder will receive no payments prior to maturity unless the securities are called and the securities make no guarantee of the return of principal at maturity. The securities will be called on any specified observation date for $10 plus a call premium of 17% per annum if the closing price of the Fund on any observation date is equal to or less than the call price of 100% of the starting price of the Index (starting value 47.06 as of 2/26/2009). The call amounts and observation dates are $10.85 on 8/25/2009, $11.70 on 3/1/2010 and $12.55 on 8/24/2010. At the maturity date, if the ending value of the Index is equal to or less than the threshold price of 51.77 (110% of the starting value), the holder will receive a cash payment of $10.00. If the ending value of the Index is greater than the threshold value, the holder will receive a cash payment of $10 times the difference in the Index less 10%, which will result in a payment of less, and possibly significantly less, than the original $10 investment with 90% of the principal at risk.
