QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley PLUS (Performance Leveraged Upside Securities) due 2/20/2009, linked to the value of the S&P 500 Index and issued at $10 per PLUS. The PLUS pay no interest, are not callable prior to maturity, and do not guarantee the return of principal at maturity. At maturity, if the value of the S&P 500 Index is greater than the initial value of 1,352.07 on 1/24/2008, the PLUS will pay a cash payment equal to $10 plus a supplemental payment of $10 times 300% of the increase in the final Index value, subject to a maximum payment of $11.60 (116% of the issue price). If the final index value is less than or equal to the initial index value, the investor would receive an amount less than or equal to the $10 stated principal amount, based on a 1% loss of principal for each 1% decline in the underlying index. If the final value of the index at maturity is less than the initial value, the holder will receive a payment that is less, and possibily significantly less, than the issue price of the PLUS.
