QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley Bear Market PLUS (Performance Leveraged Upside Securities), due 7/20/2008, issued at $10 per PLUS, and linked INVERSELY to the value of the S&P 500 Index. The PLUS pay no interest, are not callable prior to maturity, and guarantee only 50% return of principal at maturity. The PLUS are mandatorily exchangeable at maturity for an amount payable in U.S. dollars based on the value of the S&P 500 Index (initial value 1,502.56 on 6/22/2007). At maturity, if the value of the S&P 500 Index is LESS than or equal to the initial index value, the PLUS will pay a cash payment equal to $10 plus a leveraged upside payment of $10 times 400% of the decrease in the final Index value, subject to a maximum payment of $14.50 or 145% of the issue price. If the final value of the index at maturity is GREATER than the initial value, the holder will receive a payment that is less, and possibily significantly less, than the issue price of the PLUS based on the proportional increase in the index and subject to a minimum payment at maturity of $5.00 per PLUS.
