QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, Global Medium-Term Notes, Series C, Senior Fixed Rate Notes, 2.8% Market Participation Securities (MPS) with Minimum Return Protection, due 3/30/2012, based on the value of the Dow Jones High Yield Select 10 Index and issued in $25 denominations. The MPS pay 2.8% ($0.70) interest per year paid semi-annually on 3/30 & 9/30 to holders of record 15 calendar days prior to the payment date. At maturity the MPS will pay the $25 principal amount plus the supplemental redemption amount, if any. The supplemental redemption amount will be the amount, if any, that the index linked performance exceeds the $25 principal amount plus the interest payments received over the term of the notes or a total of $30.4814 per note. The index linked amount is based on the product of the quarterly performance of the Dow Jones High Yield Select 10 Index above the 92.84 initial value of the Dow Jones High Yield Select 10 Index on 5/26/2004. The final value of the index is the product of the index on each of the 31 quarterly valuation periods during the term of the MPS subject to a maximum quarterly increase of 10%. The period valuation dates are the 30th of March, June, September and December and a final valuation date of 3/28/2012. The MPS are senior unsecured debt securities issued by Morgan Stanley and will rank equally with all of their other unsecured and unsubordinated debt.
