QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, 1% Capital Protected Notes due 10/30/2010 based on the value of the S&P MidCap 400 Index, initial value 634.54 as of 4/22/2005, issued at $5.00 per note. The notes do not provide for early redemption. Distributions of 1% ($0.05) per annum are paid semiannually on 4/30 & 10/30 to holders of record 15 calendar days prior to the payment date. At the maturity date of 10/30/2010 the holder will receive a minimum cash payment of $5.00 plus an supplemental redemption amount. The supplemental redemption amount will be based on the AVERAGE returns of the S&P MidCap 400 Index on 10/30/05, 10/30/06, 10/30/07, 10/30/08, 10/30/09 and 10/30/2010 less $0.2754 which is the total value of interest payments over the term of the notes and will not be less than zero. The notes are subject to original issue discount (OID) accruals as specified on page PS-27 of the prospectus. The Notes are senior unsecured debt securities issued by Morgan Stanley and will rank equally with all of their other unsecured and unsubordinated debt.
