QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, Medium-Term Notes, Series C, Senior Fixed Rate Notes, Market Participation Securities (MPS) with Minimum Return Protection, due 3/30/2009, based on the value of the Nasdaq-100 Index and issued in $10 denominations. The MPS pay no interest. At maturity the MPS will pay the greater of the minimum payment amount of $11.32 (a 2% yield to maturity) or the index-linked payment. The index-linked payment will be based on the product of the quarterly performance amounts of the Nasdaq-100 Index for the 25 quarterly valuation periods during the term of the MPS times $10 and is subject to a maximum quarterly increase of 10% per quarter. The initial value of the Nasdaq-100 Index is 1039.95 as of 12/12/2002. The quarterly valuation dates will be the 30th of each March, June, September and December during the term of the notes and the final valuation date of 3/26/2009. The MPS are senior unsecured debt securities issued by Morgan Stanley and will rank equally with all of their other unsecured and unsubordinated debt.
