QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, Global Medium-Term Notes, Series C, Senior Fixed Rate Notes, 2% Market Participation Securities (MPS) with Minimum Return Protection, due 12/30/2010, based on the value of the Nikkei 225 Index and issued in $25 denominations. The MPS pay 2% interest per year paid semi-annually on 6/30 & 12/30 to holders of record 15 calendar days prior to the payment date. At maturity the MPS will pay the $25 principal amount plus the supplemental amount, if any. The supplemental amount will be the amount, if any, that the index linked performance exceeds the $25 principal amount plus the interest payments received over the term of the notes or a total of $28.5486. The index linked amount is based on the product of the quarterly performance of the Nikkei 225 Index above the 9852.83 initial value of the Nikkei 225 Index on 11/21/2003. The final value of the index is the product of the index on each of the 29 quarterly valuation periods during the term of the MPS subject to a maximum quarterly increase of 10%. The period valuation dates are the 30th of March, June, September and December and a final valuation date of 12/28/2010. The MPS are senior unsecured debt securities issued by Morgan Stanley and will rank equally with all of their other unsecured and unsubordinated debt.
