QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, Global Medium-Term Notes, Series C, Senior Notes, Market Participation Securities (MPS) with Minimum Return Protection, due 6/15/2010, based on the value of the Morgan Stanley Technology Index and issued in $10 denominations. The MPS pay no interest. At maturity the MPS will pay the greater of the minimum payment amount of $11.14 (a 1.5% yield to maturity) or the index-linked payment. The index-linked payment will be based on the product of the quarterly performance amounts of the Morgan Stanley Technology Index for the 29 quarterly valuation periods during the term of the MPS times $10 and is subject to a maximum quarterly increase of 15.25% per quarter. The initial value of the Index is 297.81 as of 3/24/2003. The quarterly valuation dates will be the 15th of each March, June, September & December during the term of the notes and the final valuation date of 6/11/2010. The MPS are senior unsecured debt securities issued by Morgan Stanley and will rank equally with all of their other unsecured and unsubordinated debt.
