Morgan Chase KEYnotes Exhange Traded Notes (ETNs) Linked to the First Trust Enhanced 130/30 Large Cap Index due May 25, 2023 is issued by J P Morgan Chase & Co. and is part of the Series E medium-term notes. INVESTMENT OBJECTIVE: The KEYnotes ETNs Linked to the First Trust Enhanced 130/30 Large Cap Index are designed for investors who seek a return linked to the First Trust Enhanced 130/30 Large Cap Index (the Index). INDEX DESCRIPTION: The First Trust Enhanced 130/30 Large Cap Index is a modified equal-weighted total return index consisting of securities that have been selected from a broad universe of the 2,500 largest U.S. exchange-listed stocks pursuant to a quantitative selection process. The Index contains a long position in certain large capitalization securities equal to 130% of the value of the Index and a short position in certain large capitalization securities equal to 30% of the value of the Index as of each quarterly rebalancing date, each according to the eligibility requirements established by the Index Provider. NYSE Arca (the Index Calculation Agent) is responsible for selecting the component securities of the Index on each quarterly rebalancing date by application of a predefined rules-based methodology developed by First Trust Advisors L.P., the Index Provider. On each business day, the Index Calculation Agent will calculate and publish the intraday indicative value of the Index every 15 seconds during the normal trading hours on NYSE Arca and the closing value of the Index, at approximately 4:00 p.m. New York City time. RETURNS AND MATURITY: The return on the Securities may be positive or negative, and is directly linked to the performance of the Index, which is based on a variety of market and economic factors, interest rates in the markets and economic, financial, political, regulatory, judicial or other events that affect the markets generally. On the Maturity Date, May 25, 2023, for each $50 principal amount note you will receive a cash payment equal to $50 multiplied by the Index Factor on the Final Valuation Date minus the Investor Fee on the Final Valuation Date. REDEMPTION AND FEES: You may request that we repurchase your notes, for each $50 principal amount note you will
receive a cash payment on the Repurchase Date equal to $50 multiplied by the Index Factor on the relevant Valuation Date minus the Investor Fee on the relevant Valuation Date. You must request that we repurchase at least 50,000 notes amount at one time and to comply with the redemption procedures in order to exercise your right to have us repurchase your notes on any Repurchase Date. Notes: 9/20/2013 JPMorgan Chase & Co. announced today that it will withdraw the NYSE Arca listing of its KEYnotes Exchange Traded Notes Linked to the First Trust Enhanced 130/30 Large Cap Index due 2023 with a CUSIP of 46625H761 (NYSE Arca: JFT) (the “JFT ETNs”) effective on or about October 10, 2013 due to current limited demand for the security. In connection with the delisting of the JFT ETNs, JPMorgan Chase & Co. and First Trust Portfolios L.P. will jointly terminate the Marketing Agent Agreement for the JFT ETNs effective on or about October 14, 2013.
Upon the effective delisting date, the JFT ETNs will no longer be listed on any national exchange or quoted medium. The JFT ETNs may trade, if at all, on an over the counter basis. For additional information, please see the prospectus related to the JFT ETNs.
