QUANTUMONLINE.COM SECURITY DESCRIPTION: Morgan Stanley, Capital Protected Notes, due 8/30/2010, based on the value of the decline in the value of the PHLX Housing Sector Index, issued at $10.00 per note. The notes will make no payments before maturity and do not provide for early redemption. At the maturity date of 8/30/2010 the holder will receive a minimum cash payment of the $10.00 principal amount plus an supplemental redemption amount, if any, based on the average closing values of the PHLX Housing Sector Index on the 3 evaluation dates over the term of the notes. The initial value of the Index is 528.67 as of 8/24/2005. If the final value of the Index is less than the initial value, the supplemental redemption amount will be $10 times the the initial value of the index minus the average final value of the index on the three evaluation dates divided by the initial value of the index and will not be less than zero. The index will be evaluated on 8/30/2008, 8/30/2009 and 8/26/2010. See page PS-3 of the prospectus for further information on the maturity payment. The notes are subject to original issue discount (OID) accruals as specified on page PS-29 of the prospectus. The notes are senior unsecured debt securities issued by Morgan Stanley and will rank equally with all of their other unsecured and unsubordinated debt.
