FUND DESCRIPTION: Morgan Stanley Government Income Trust is a diversified, closed-end management investment company whose primary investment objective is to provide as high a level of current income as is consistent with prudent investment and as a secondary objective, capital appreciation. The Fund's investment advisor is Morgan Stanley Investment Advisors Inc. Morgan Stanley Trust, an affiliate of the Investment Manager, is the Trust's transfer agent.

Notes: March 14, 2007 -- On March 6, 2007, the shareholders of Morgan Stanley Government Income Trust approved a plan to merge the Fund into Morgan Stanley U.S. Government Securities Trust, an open-end fund. Accordingly, Morgan Stanley Government Income Trust shareholders will receive Class D shares of Morgan Stanley U.S. Government Securities Trust equal to the value of their holdings in the Fund on the valuation date of March 23, 2007. As a result, trading of the Fund's shares on the New York Stock Exchange will be suspended on March 20, 2007. A final distribution of dividends will be paid to the Fund's shareholders of record--those shareholders who, at the close of business on March 22, 2007, own shares of the fund--on or about March 23, 2007.
