QUANTUMONLINE.COM SECURITY DESCRIPTION:  Bank of America Corp., STARS (STrategic Accelerated Redemption Securities), linked to the SPDR Gold Trust, due 5/3/2011, and issued at $10 per unit. The notes will receive no payments before maturity and make no guarantee of the return of principal at maturity. The securities will be automatically called on any of the three observation dates at a call premium of 14.210% per annum if the level of the Trust on any observation date is equal to or greater than the call level of 100% of the starting price of the Trust (starting level $88.80 as of 4/23/2009). The securities are automatically callable at $11.4210 on 4/26/2010, $12.1315 on 10/26/2010 and $12.8420 on 4/26/2011. At the maturity date, if the securities have not been called, and the level of the Fund is greater than the threshold level of $79.92 (90% of the starting level), the maturity payment will be the $10 principal value. If, at the maturity date, the Fund level is less than the threshold level, the holder will receive a payment based on the percentage change in the level of the index less 10%. As a result, the maturity payment may be less, and possibly significantly less, than the $10 offering price with 90% of the principal at risk.
