QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, Capital Protected Notes,based on the value of a basket of three indices, due 8/20/2011, and issued at $10.00 per note. The notes will make no payments before maturity and do not provide for early redemption. At the maturity date of 8/20/2011 the holder will receive a minimum cash payment of the $10.00 principal amount plus an supplemental redemption amount, if any, based on the performance of the basket of three equally weighted indices over the term of the notes. The indices included in the basket are the Dow Jones EURO STOXX 50 Index, the S&P 500 Index, and the Nikkei 225 Index. See page 2 of the prospectus for the initial values of the indices. The supplemental redemption amount will be the final value of the basket at the determination date of 8/17/2011 minus the initial value of the basket divided by the initial value of the basket times a participation rate of 100% and will not be less than zero. The notes are subject to original issue discount (OID) accruals as discussed on page 3 of the prospectus. The capital protected notes are Series F global medium-term notes that are senior unsecured debt securities issued by Morgan Stanley and will rank equally with all of their other unsecured and unsubordinated debt.
