QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley Protected Absolute Return Barrier Notes, due 12/20/2008, based on the value of the iShares MSCI EAFE Index Fund and issued at $10 per note. The notes pay no interest and are not callable prior to maturity. At maturity, if the share price of the iShares MSCI EAFE Index Fund has remained within the specified range, the notes will pay a cash payment equal to a minimum of $10 plus a positive supplemental redemption amount of $10 times the absolute return of the fund on 12/18/2008 (whether the return is positive or negative). If the share price of the fund at any time on any day between 6/22/2007 and 12/18/2008 has been outside of the specified range, the supplemental redemption will be zero and the notes will pay only the $10 principal amount. The initial share price of the Fund is $79.97 on 6/22/2007 and the specified price range of the fund is 80% to 120% of the initial fund share price. The appreciation potential of the notes is limited by the fund range to a maximum payment at maturity of $12.00 or 120% of the principal amount.
