QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, 1.875% Capital Protected Notes due 3/30/2011 based on the value of the MSCI EAFE Index, initial value 1347.29 as of 1/22/2004, issued at $12.50 per note. The notes do not provide for early redemption. Distributions of 1.875% ($0.234375) per annum are paid semiannually on 3/30 & 9/30 to holders of record 15 calendar days prior to the payment date. At the maturity date of 3/30/2011 the holder will receive a cash payment of $12.50 plus an supplemental redemption amount. The supplemental redemption amount will be based on the AVERAGE returns of the MSCI EAFE Index on 3/30/05, 3/30/06, 3/30/07, 3/30/08, 3/30/09 and 3/30/2010 less $1.68 which is the total value of interest payments over the term of the notes. The notes are subject to original issue discount (OID) accruals as specified on page PS-30 of the prospectus. The Notes are senior unsecured debt securities issued by Morgan Stanley and will rank equally with all of their other unsecured and unsubordinated debt.
