QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley PLUS (Performance Leveraged Upside Securities) due 4/30/2007, and issued at $10.00 per PLUS, and linked to the value of the Dow Jones Industrial Average. The PLUS pay no interest, are not callable prior to maturity and do not guarantee any return of principal at maturity. At maturity, if the Dow Jones Industrial Average (DJIA) exceeds the initial value of 10,157.71 on 4/22/2005, the PLUS will pay cash equal to $10 plus the leveraged upside payment. The leveraged upside payment will be equal to $10 times 200% of the percentage increase in the DJIA but subject to a maximum payment of $12.10 (121% of the issue price). If the final value of the index at maturity is less than the initial value, the holder will receive a payment that is less, and possibily significantly less, than the issue price of the PLUS based on the proportional decrease in the index.
