QUANTUMONLINE.COM SECURITY DESCRIPTION:  Merrill Lynch & Co. Inc., STARS (Strategic Accelerated Redemption Securities) linked to value of the Dow Jones Industrial Average, due 8/31/2010, and issued at $10 per security. The holder will receive no payments prior to maturity unless the securities are called and the securities make no guarantee of the return of principal at maturity. The securities will be automatically called on any specified observation date for $10 plus a call premium of 13.06% per annum if the closing level of the Average on any observation date is equal to or greater than the call level of 100% of the starting value of the Index (starting value 11,502.51 as of 8/27/2008). The call amounts and observation dates are $11.3060 on 9/10/2009, $11.9590 on 3/10/2010 and $12.6120 on 8/24/2010. At the maturity date, if the ending value of the Average is equal to or greater than the threshold value of 10,352.26 (90% of the starting value), the holder will receive a cash payment of $10.00. If the ending value of the Average is less than the threshold value, the holder will receive a cash payment of $10 times the difference in the Average plus 10%, which will result in a payment of less, and possibly significantly less, than the original $10 investment.
