QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley PLUS (Performance Leveraged Upside Securities), maturing 11/20/2007, linked to the value of the AMEX China index, and issued at $5.00 per PLUS. The PLUS pay no interest, are not callable prior to maturity, and do not guarantee any return of principal at maturity. At maturity, if the final value of the AMEX China Index is greater than the initial value of 131.73 on 10/24/2006, the PLUS will pay a cash payment equal to 200% of the increase in the Index value, subject to a maximum payment of $5.95 (119% of the issue price). If the final value of the index at maturity is less than the initial value, the holder will receive a payment that is less, and possibily significantly less, than the issue price of the PLUS based on the proportional decrease in the index.
