QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, Capital Protected Notes, due 12/30/2009, based on the value of the AMEX China Index, and issued at $10.00 per note. The notes will make no payments before maturity and do not provide for early redemption. At the maturity date of 12/30/2009 the holder will receive a minimum cash payment of the $10.00 principal amount plus an supplemental redemption amount, if any, based on the performance of the AMEX China Index over the term of the notes. The supplemental redemption amount will be $10 times the final average value of the index on the five evaluation dates minus the initial value of the index (initial value 112.05 as of 9/23/2005) divided by the initial value of the index and will not be less than zero. The final average value of the index will be the arithmatic average of the closing values of the index on 12/30/2005, 12/30/2006, 12/30/2007, 12/30/2008, and 12/28/2009. The notes are subject to original issue discount (OID) accruals as specified on page PS-27 of the prospectus. The notes are senior unsecured debt securities issued by Morgan Stanley and will rank equally with all of their other unsecured and unsubordinated debt.
