At maturity the holder will receive cash based on the closing prices of the underlying stocks in the AMEX Biotechnology Index. The BOXES are redeemable on or after 3/22/2009 for cash based on the closing prices of stocks in the index. The BOXES are senior unsecured debt securities issued by Morgan Stanley and will rank equally with all of their other unsecured and unsubordinated debt.
