QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley Buffered PLUS (Performance Leveraged Upside Securities), due 12/20/2010, linked to the value of the S&P 500 Index and issued at $10 per PLUS. The PLUS pay no interest, are not callable prior to maturity, and do not guarantee the return of principal at maturity. At maturity, if the value of the S&P 500 Index is greater than the initial value of 863.16 on 12/23/2008, the PLUS will pay a cash payment equal to $10 plus a leveraged upside payment of $10 times 200% of the increase in the final Index value, subject to a maximum payment of $16.00 (160% of the issue price). If the final index value is less than or equal to the initial index value but greater than the buffer amount of 10%, the investor would receive the stated principal amount of $10.00. If the final value is less than the buffer amount, the investor would receive $10 times the final index value divided by the initial index value plus $1.00. If the final value of the index at maturity is less than the initial value, the holder will receive a payment that is less, and possibily significantly less, than the issue price of the buffered PLUS.
