QUANTUMONLINE.COM SECURITY DESCRIPTION: The Bear Stearns Cos. Inc., Accelerated Market Particiption Securities (AMPS), due 10/21/2004, linked to the S&P 500 Index and issued at $5.00 per AMPS. The AMPS unsecured obligations of The Bear Stearns Cos. Inc. The PLUS notes pay no interest, are not callable prior to maturity and do not guarantee any return of principal at maturity. At the maturity date of 10/21/2004 the AMPS will pay a cash payment based on the percentage change in the S&P 500 index (initial value 981.73 as of 7/17/2003). If the Index has increased, the holder will receive a payment based on 300% of the increase in the Index, not to exceed $5.75 (115% of the issue price). If the Index has decreased, the payment will be based on the percentage decrease. As a result, the holder will receive a payment that is less, and possibly significantly less that the issue price if the Index declines.
