QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, Exchangeable Notes due 12/30/2011 exchangeable for shares of common stock in a basket of two oil industry company stocks consisting of Anadarko Petroleum Corp. and Diamond Offshore Drilling Inc. (each stock comprising 1/2 of the initial value), issued in $1000 denominations. The notes pay interest of 0.25% ($2.50) per annum semiannually on 6/30 & 12/30 (no record date is specified in the prospectus). Beginning 12/22/2004, the notes are exchangeable at the holder's option for the number of shares of each basket stock equal to its exchange ratio or the cash equivalent, at the issuer's option. The notes are callable for cash on or after 11/30/2006 at the issuer's option at the greater $1,000 or the number of shares of each basket stock equal to its exchange ratio, or the cash value of those shares.
