QUANTUMONLINE.COM SECURITY DESCRIPTION:  Bank of America Corp., 1.50% Basket CYCLES (Capital Protected EquitY PerformanCe LinkEd Securities), due 12/28/2011, linked to a basket of 25 U.S. Health Care Stocks, and issued in $1000 denominations. The CYCLES pay interest semiannually at 1.50% ($15.00) per annum payable on 6/28 & 12/28 to holders of record on the 15th calendar day prior to the payment date. The CYCLES are not callable prior to the maturity date. At maturity, the CYCLES will pay a minimum of the $1000 principal amount of the notes plus a supplemental redemption amount which may be zero. The supplemental redemption amount will be based on the average basket return of the basket of the 25 Health Care Stocks (see list of stocks on page PS-30 of the prospectus) for the 6 annual valuation dates during the term of the CYCLES less the total interest percentage of 9.00%. The initial value of the Basket of Stocks is 1000 as of 12/22/2005. The annual valuation dates will be the 22nd of December during the term of the Cycles and the final valuation date of 12/22/2011.
