QUANTUMONLINE.COM SECURITY DESCRIPTION:  Bank of America Corp., Index EAGLES (Minimum Return Equity Appreciation Growth LinkEd Securities), linked to the AMEX Biotechnology Index, due 8/28/2009 and issued in $1000 denominations. The EAGLES pay no interest and are not callable prior to the maturity date. At maturity the EAGLES will pay the principal amount plus a supplemental amount which will be at least 4% of the principal amount of the notes or a minimum of $1040. The supplemental redemption amount will be based on the compounded product of the quarterly performance amounts of the AMEX Biotechnology Index for the 16 quarterly reference periods during the term of the EAGLES times $1000. The initial value of the AMEX Biotechnology Index is 611.78 as of 8/23/2005. The quarterly valuation dates will be the 23rd of the month at the end of each quarter during the term of the Eagles and the final valuation date of 8/23/2009. The index returns are subject to a 8.00% return cap per quarter on increases with no limit on the return declines.
