QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, 1.3% Capital Protected Notes due 9/30/2012 based on the value of a basket of shares of common stock of fifteen companies (APA, BHI, CHK, COP, DVN, XOM, HAL, PCO, RD, SLB, SU, VLO, WFT, WMB & XTO) in the energy industry, issued at $10 per note. The notes do not provide for early redemption. Distributions of 1.3% ($0.13) per annum are paid semiannually on 3/30 & 9/30. At the maturity date of 9/30/2012 the holder will receive the greater of the $10 principal amount or the final average basket value less $1.0407 (the aggregate amount of the interest payments over the term of the notes). The final average basket value will be the arithmetic average of the basket values on each of the eight determination dates during the life of the notes. The notes are subject to original issue discount (OID) accruals as specified on page PS-39 of the prospectus.
