QUANTUMONLINE.COM SECURITY DESCRIPTION:  Morgan Stanley, Exchangeable Notes due 4/01/2009 exchangeable for shares of common stock in a basket of three health care stocks consisting of Biogen Idec Inc., Bristol-Myers Squibb Co. and Merck & Co. Inc. (each stock comprising 1/3 of the initial value), issued in $1000 denominations. The notes pay interest of 0.25% ($2.50) per annum semiannually on 4/1 & 10/1 (no record date is specified in the prospectus). The notes are exchangeable any time at the holder's option for the number of shares of each basket stock equal to its exchange ratio or the cash equivalent, at the issuer's option.
