Notes:  September 22, 2022 -- A reverse stock split is expected to take place on November 1, 2022 at 5:01 p.m. Eastern Time (the “Effective Time”). At the Effective Time, every four issued and outstanding shares of the company’s common stock will be converted into one share of common stock. In addition, the number of authorized shares of common stock will be reduced from 700 million to 175 million. The par value of each share of common stock will remain unchanged. At market open on November 2, 2022, the company’s common stock will continue trading on the NYSE under the symbol “TWO” but will be assigned a new CUSIP number. Two Harbors Investment Corp. (“Two Harbors” or the “Company”) (NYSE: TWO) announced today that it has completed its transition to self-management following the termination of its Management Agreement with PRCM Advisers LLC on August 14, 2020. As previously disclosed, the Company terminated the Management Agreement for “cause” in accordance with Section 15(a) of the Management Agreement. No termination fee was payable to PRCM Advisers in connection with such termination.
