QUANTUMONLINE.COM SECURITY DESCRIPTION: SiriusPoint Ltd 8.00% Resettable Fixed Rate Preference Shares, Series B, $25 per share, redeemable at the issuer's option on 02/26/2026 and every Feburary 26th in every fifth year thereafter at $25 per share plus accrued and unpaid dividends, and with no stated maturity. Cumulative distributions of the Annual Fixed Dividend Rate will be paid quarterly on 2/28, 5/31, 8/31 & 11/30 to holders of record on the record date fixed by the board, not more than 60 days or less than 30 days prior to the payment date (NOTE: the ex-dividend date is one business day prior to the record date). The Annual Fixed Dividend Rate will be 8.00% until the first redemption date, then it will be equal to the sum of the Five-Year U.S. Treasury Rate on the applicable fixed rate calculation date plus 7.298%, resetting every 5 years thereafter on applicable fixed rate calculation date (see prospectus for more details).
Dividends paid by these preference shares are eligible for the preferential income tax rate of 15% to a maximum of 20% depending on the holder's tax bracket (and under IRS specified holding restrictions) but, since they are issued by a foreign company, are NOT eligible for the dividends received deduction for corporate holders. This company may lose its preferential tax rate if it is classified as a Passive Foreign Investment Company in this or a future tax year (see page S-27 of the prospectus for further information).
The Company may redeem the Depositary Shares at $25 (100%) of their principal amount plus accrued and unpaid dividends, if a Capital Disqualification Event occurs; and at $25.50 (102%) of their principal amount plus accrued and unpaid dividends if a rating agency event occurs.
