QUANTUMONLINE.COM SECURITY DESCRIPTION: JPMorgan Chase & Co., Fixed/Adjustable Rate Noncumulative Preferred Stock, stated value $50 per share, redeemable at the issuer's option on or after 6/30/2003 at $50 per share plus declared and unpaid dividends, with no stated maturity and with noncumulative fixed/adjustable rate distributions paid quarterly on 3/31, 6/30, 9/30 & 12/31 to holders of record on the date fixed by the board, not more than 45 days prior to the payment date. The fixed/adjustable rate is fixed through 6/30/2003 at 4.96% per annum and is then adjustable for each dividend period and will be based on the highest of the Treasury Bill Rate, the Ten Year Constant Maturity Rate and the Thirty Year Constant Maturity Rate less 0.20%, with a minimum rate of 5.46% and a maximum rate of 11.46%. In regards to payment of dividends and upon liquidation, the preferred shares rank equally with other preferreds and senior to the common shares of the company.
