QUANTUMONLINE.COM SECURITY DESCRIPTION:  JPMorgan Chase & Co., Market Participation Notes due 3/12/2008, linked to value of the S&P 500 Index, issued at $1,000 per Note. The holder will receive no payments prior to maturity. At the maturity date of 3/12/2008 the holder will receive the $1,000 principal amount of the notes plus an additional amount in cash if the final AVERAGE level of the Index exceeds the initial value of the Index (initial value 822.10 as of 3/6/2003), subject to a maximum of $400 (6.72% maximum yield) per $1000 principal amount. The final average index level will equal the arithmetic average of the closing index level of the Index on the 7th of each month over the five year term of the notes. The Notes are unsecured and unsubordinated obligations issued by J.P. Morgan Chase & Co. and will rank equally with all of their other unsecured and unsubordinated obligations.
