QUANTUMONLINE.COM SECURITY DESCRIPTION: General Motors Corp., 5.25% Series B Convertible Senior Debentures due 2032, issued in $25 denominations, redeemable at the issuer's option on or after 3/06/2009 at $25 per share plus accrued and unpaid interest, maturing 3/06/2032, distributions of 5.25% ($1.3125) per annum are paid semiannually on 3/1 & 9/1 to holders of record on the 15th day of the month preceding the payment date. The preferred shares are convertible any time at the holder's option into 0.3852 common shares of General Motors Corp. (NYSE: GM), an initial conversion price of $64.90 per common share. The holder may require the company to repurchase the debentures on March 6th of 2014, 2019, 2024 and 2029 at the company's option of cash or stock. Units are expected to trade flat, which means accrued interest will be reflected in the trading price and the purchasers will not pay and the sellers will not receive any accrued and unpaid interest. The debentures are senior debt of the company and will rank equally with all existing and future unsecured and unsubordinated indebtedness of the company.
