QUANTUMONLINE.COM SECURITY DESCRIPTION:  Merrill Lynch & Co. Inc., Enhanced Return Notes linked to the Nasdaq-100 Index, due 3/01/2004 and issued at $10 per unit. The Enhanced Return Notes will receive no payments before maturity and can not be redeemed prior to maturity. At the maturity date of 3/01/2004 the holder will receive a payment based on twice the percentage increase in the Nasdaq-100 Index (starting value 1,401.19 as of 2/26/2002), not to exceed $15.00, if the index has increased. If the index has decreased, the holder will receive a maturity payment based on the percentage of decrease. As a result, the holder may receive less, and possibly significantly less than the original offering price. The enhanced return notes are senior unsecured debt securities of Merrill Lynch & Co. Inc. and will rank equally with their other unsecured and unsubordinated debt.
