QUANTUMONLINE.COM SECURITY DESCRIPTION:  Merrill Lynch & Co. Inc., Strategic Return Notes linked to value of the Biotech-Pharmaceutical Index (starting value 75.31 as of 10/29/02) due 11/01/2007, issued at $10 per Unit. The holder will receive no payments prior to maturity unless exchanged. At the maturity date of 11/01/2007 the holder will receive a cash payment of $9.90 times the difference in the Biotech-Pharmaceutical Index less an annual adjustment factor of 1.5% per year, which can result in a payment of more or less than the original $10 investment. The Notes are also exchangeable at the holders option each October between 2003 and 2006. The Notes are senior unsecured debt securities issued by Merrill Lynch & Co. Inc. and will rank equally with their other unsecured and unsubordinated debt.
