Notes:  10/10/2018 -- Gramercy Property Trust (NYSE: GPT) announced today the completion of its previously announced acquisition by affiliates of Blackstone Real Estate Partners VIII L.P. The total transaction value is approximately $7.6 billion. Pursuant to the transaction, holders of common shares of Gramercy Property Trust will be entitled to receive $27.50 in cash, without interest, in exchange for each common share they own. In connection with the transaction, all of Gramercy’s outstanding Series A preferred shares will be redeemed for approximately $25.05 per share in cash. As a result of the transaction, Gramercy’s common shares will cease trading on the New York Stock Exchange. ____________ 8/9/2018 -- Gramercy Property Trust announced that its shareholders approved the acquisition of Gramercy by affiliates of Blackstone Real Estate Partners VIII L.P. at its special meeting of shareholders held earlier today. As announced previously, on May 6, 2018 Gramercy entered into a definitive agreement with affiliates of Blackstone, under which Blackstone will acquire all outstanding common shares of Gramercy for $27.50 per share, plus, if the transaction is consummated after October 15, 2018, a per diem amount of approximately $0.004 per share for each day from and after such date until (but not including) the closing date, in an all-cash transaction valued at approximately $7.6 billion. Subject to the satisfaction or waiver of all the conditions to the transaction as described in the Merger Agreement, the transaction is expected to be completed in either September or the first-half of October of this year. Upon the closing of the transaction, trading of Gramercy’s shares on the New York Stock Exchange will cease. ____________ Dec. 30, 2016 -- Gramercy Property Trust (GPT) has announced a 1-for-3 reverse stock split. The cusip will change to 385002308 _______________December 17, 2015 -- Gramercy Property Trust Inc. (NYSE: GPT) a real estate investment trust, announced today that it has completed its merger with Chambers Street Properties and together with Gramercy, collectively, the Combined Company) and, in connection therewith, the Combined Company entered into a new senior unsecured credit facility. Pursuant to the terms of this transaction, Gramercy stockholders will receive 3.1898 common shares of Chambers Street for each share of Gramercy common stock they own. The New Company will retain the Gramercy name and symbol GPT.
