    QUANTUMONLINE.COM SECURITY DESCRIPTION:  Freeport-McMoRan Copper & Gold, 6 3/4% Mandatory Convertible Preferred Stock, liquidation preference $100 per share. The preferred shares are mandatorily convertible on 5/1/2010 into a variable number of Freeport-McMoRan Copper & Gold (NYSE: FCX) common shares based on the then current price of the common shares for 20 consecutive trading days ending the third trading day prior to the conversion date. The conversion settlement rate will be 1.3605 shares per unit if the then current market price is equal to or greater than $73.50 and 1.6327 shares per unit if the market price is equal to or less than $61.25. For market prices between those values the settlement rate will be $100 divided by the market value. The last reported sale price of the common stock on 3/22/2007 was $61.91. The preferred shares are convertible any time at the holder’s option into 1.3605 shares of common stock. Distributions of 6.75% ($6.75) per annum will be paid quarterly on 2/1, 5/1, 8/1 & 11/1 to holders of record on 1/15, 4/15, 7/15 & 10/15 respectively. The first dividend of $2.30625 will be paid on 8/1/07 for the period from the date of issuance to 8/1/07. Dividends paid by the preferred are eligible for the 15% tax rate on dividends under normal holding restrictions and are also eligible for the dividends received deduction for corporate holders (see page S-78 of the prospectus for further information). In regard to the payment of dividends and upon liquidation, the preferred shares rank equally with other preferreds of the company and senior to the common shares of the company.
